Sponsor Agreement

OUR AGREMENT

Sponsors of the USSSA by nature of working with the association and its members must hold themselves to the same ethical duties as our members. Our code of ethics outlines ethical duties in the areas of safety, quality, respect, honesty/integrity, confidentiality, and employment. USSSA members’ and sponsors’ ethical behavior should result from their personal commitment to engage in ethical practices. Our Code of Ethics provides guidelines to assist members and sponsors in making ethical choices in their operations. Our current Code of Ethics can be viewed at www.usswimschools.org under Members.

Sponsor Trademarks and Materials

Subject to the terms and conditions of this Agreement, the Sponsor grants the Association the right to use the Sponsor’s trade names, logo designs, trademarks, and company descriptions as provided in Sponsor marketing materials. These assets may be used in any medium of advertising, promotional products, or marketing materials distributed solely in connection with Association workshops, conferences, and sponsor promotions. Association agrees to use materials according to Sponsor’s trademark usage guidelines.

The Sponsor agrees to offer the following materials for marketing and promotional purposes:

  • Sponsor’s Logo – high-res color for signage and low-res color for online, prefer transparent background
  • Contact details and website address to link to on www.usswimschools.org page
  • 200-word description of product/service for listing on Association website
  • Images and text as requested and agreed upon for emails, mailers, e-news and webinar where applicable

Indemnity

The Sponsor will indemnify, defend, and hold the Association harmless from and against any claims relating directly or indirectly to, or arising out of, content posted on the Sponsor’s respective website, use of Sponsor materials, or use of Sponsor’s logos and trademarks.

The Association will not be responsible for damage to or loss of property belonging to the Sponsor, its employees, contractors, or agents or for personal injury to the Sponsor’s employees, contractors, agents, directors, or invitees except to the extent that claims may be solely and directly attributed to willful misconduct or gross negligence of the Association and Association’s employers, directors, or officers.

Sponsor will give Association prompt written notice of any suit or claim that comes within the purview of these indemnities.

Limitation of Liability

In no event shall either party be liable to the other party for any consequential, incidental, indirect, or punitive damages regardless of whether such liability results from breach of contract, breach of warranties, tort, strict liability, or otherwise.

Deadlines

As a sponsor you will receive details and deadlines to fully participate in your sponsored selections. Please note that in order to fully participate, it is your responsibility to meet the established deadlines. If further clarification is needed, please be sure to contact the office well in advance of the deadline. Items with deadlines include, but are not limited to, 30 second commercial, push notification text, e-newsletter text and ads.

Agreement Termination

The Association or Sponsor may terminate this Agreement for breach of Agreement. There must be at least thirty (30) days prior written notice specifying the nature of the breach and at least thirty (30) days to resolve such breach. Upon termination, the sponsor forfeits any unused funds previously paid (there are no refunds) and the association forfeits ability to invoice for any unused fees (no future fees collected for any unused sponsor benefits).
